TradeMania Terms and Conditions

1. Definitions

For the purposes of these Terms:

Account means your registered TradeMania user account.

Platform means the TradeMania website, mobile applications, tournaments, services, software, content, and related systems.

Tournament means any competition, challenge, leaderboard, event, campaign, or promotion made available through the Platform.

Virtual Funds means simulated trading capital provided by TradeMania solely for participation in tournaments. Virtual Funds have no monetary value, cannot be withdrawn, exchanged, or transferred, and do not represent real assets or investments.

TM Coins means TradeMania's virtual in-app currency used within the Platform. TM Coins are promotional virtual items, are not legal tender, do not constitute electronic money, stored value, financial instruments, securities, or cryptocurrencies, and have no cash value except where expressly permitted by TradeMania.

Reward means any prize, merchandise, promotional item, TM Coins, virtual benefit, digital reward, or other incentive offered by TradeMania.

Leaderboard means any ranking, score table, or tournament standings displayed on the Platform.

Fair Play means participation consistent with the intended operation of the Platform, these Terms, tournament rules, and the spirit of honest competition.

2. Acceptance of these Terms

By accessing or using the Platform, you confirm that:

1. you have the legal capacity to enter into this agreement;

2. you agree to comply with these Terms and all applicable laws;

3. you understand that TradeMania is a skill-based competition platform using virtual funds;

4. you acknowledge that participation is entirely voluntary.

If you do not agree with these Terms, you must immediately discontinue use of the Platform.

TradeMania may revise these Terms at any time. Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.

3. Eligibility

To use the Platform, you must:

1. be at least eighteen (18) years of age or the minimum legal age required in your jurisdiction, whichever is higher;

2. provide accurate and complete registration information;

3. not be prohibited by applicable law from using the Platform;

4. not previously have had your TradeMania account terminated for violations of these Terms unless expressly authorized by TradeMania.

TradeMania reserves the right to request proof of age, identity, or eligibility at any time.

Failure to provide satisfactory verification may result in suspension or termination of your Account.

4. Availability of Services

TradeMania determines where its Platform and services are made available.

Availability may vary based on legal, regulatory, licensing, sanctions, operational, commercial, security, fraud-prevention, or other business considerations.

TradeMania reserves the right, at any time and without prior notice, to:

1. refuse registration;

2. refuse access to the Platform;

3. restrict features;

4. suspend Accounts;

5. terminate Accounts;

6. deny tournament participation;

7. cancel participation;

8. withhold, cancel, or refuse Rewards;

9. take any other action reasonably necessary regarding users located in, residing in, accessing the Platform from, or otherwise connected to jurisdictions where TradeMania chooses not to offer its services.

TradeMania is under no obligation to explain the reasons for determining service availability in any particular jurisdiction.

Users are solely responsible for ensuring that access to and use of the Platform is lawful under the laws applicable to them.

The availability of the Platform in any jurisdiction at one time does not create any obligation for TradeMania to continue offering its services there in the future.

5. User Accounts

To participate in TradeMania, you must create an Account.

You agree that all information provided during registration shall be accurate, complete, and kept up to date.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your Account.

You may not:

1. create multiple Accounts without TradeMania's authorization;

2. share Accounts;

3. sell Accounts;

4. transfer Accounts;

5. purchase Accounts;

6. rent Accounts;

7. allow another person to access or use your Account;

8. impersonate another individual or entity.

TradeMania may refuse registration, suspend, or permanently terminate any Account that violates these Terms or that TradeMania reasonably believes presents a security, legal, operational, or integrity risk.

Accounts remain the property of TradeMania solely for purposes of administration and operation of the Platform. Users receive only a limited, revocable, non-transferable license to access and use the Platform in accordance with these Terms.

6. Tournaments

TradeMania offers skill-based tournaments that allow eligible users to compete using Virtual Funds under predefined tournament rules.

Each Tournament may have its own eligibility requirements, entry method, entry limits, scoring methodology, duration, prize structure, leaderboard, and additional rules, which form part of these Terms.

Participation in a Tournament does not guarantee:

• placement on a Leaderboard;
• receipt of a Reward;
• continued participation;
• future Tournament availability.

TradeMania reserves the right to:

• create, modify, suspend, postpone, merge, restart, or cancel any Tournament;
• adjust Tournament settings before or during a Tournament where reasonably necessary to preserve fairness, integrity, security, or proper operation;
• correct technical or administrative errors affecting Tournament operation;
• determine Tournament winners based on the final verified results following any required reviews or investigations.

Tournament participation is a privilege, not a right.

TradeMania may deny participation in any Tournament where it reasonably determines that doing so is necessary to protect the integrity, security, fairness, or intended operation of the Platform.

7. Virtual Funds

TradeMania provides Virtual Funds solely for participation in Tournaments.

Virtual Funds:

• are fictional;
• exist only within the Platform;
• are provided for gameplay purposes only;
• have no monetary value;
• cannot be withdrawn;
• cannot be redeemed for money;
• cannot be transferred between users;
• cannot be exchanged for legal tender, cryptocurrency, securities, or financial instruments.

Virtual Funds do not represent deposits, investments, brokerage accounts, trading accounts, or customer assets.

Trading activity conducted using Virtual Funds does not constitute real trading and does not create any ownership interest in underlying financial instruments.

TradeMania may determine the amount of Virtual Funds allocated to any Tournament and may modify allocations, leverage, margin requirements, position limits, exposure limits, contract specifications, trading conditions, or Tournament mechanics at any time where reasonably necessary for gameplay, operational, or integrity purposes.

Users acknowledge that Tournament results are determined solely within the rules established by TradeMania and not by ownership of any real financial assets.

8. TM Coins

TM Coins are TradeMania's virtual in-app currency.

TM Coins may be earned, awarded, purchased where available, or otherwise obtained through methods authorized by TradeMania.

TM Coins:

• are licensed, not sold;
• remain the property of TradeMania;
• have no cash value except where expressly permitted by TradeMania;
• do not constitute money, electronic money, stored value, securities, financial instruments, or cryptocurrency;
• may not be transferred, assigned, pledged, sold, exchanged, or traded except through features expressly provided by TradeMania.

TradeMania may determine:

• how TM Coins are earned;
• how TM Coins are used;
• expiration policies, if any;
• redemption eligibility;
• purchase availability;
• promotional grants;
• balance corrections.

TradeMania reserves the right to correct TM Coin balances resulting from technical errors, fraud, abuse, duplicate transactions, system malfunctions, or other inaccuracies.

Where TM Coins have been obtained through prohibited conduct, TradeMania may remove, adjust, reverse, or permanently forfeit those TM Coins without compensation.

9. Rewards and Redemption

TradeMania may offer Rewards for eligible users participating in Tournaments or other Platform activities.

Rewards may include, without limitation:

• TM Coins;
• physical merchandise;
• digital rewards;
• promotional items;
• vouchers;
• partner-sponsored rewards;
• other benefits determined by TradeMania.

Rewards are offered subject to availability and eligibility requirements.

TradeMania does not guarantee that any particular Reward will remain available.

TradeMania may substitute a Reward with another of comparable value where reasonably necessary.

A user's position on a Leaderboard does not automatically entitle that user to receive a Reward.

Before issuing any Reward, TradeMania may verify eligibility, compliance with these Terms, Tournament rules, identity requirements, residency requirements, and any other conditions reasonably necessary to administer the Platform.

TradeMania may delay, withhold, refuse, cancel, revoke, or permanently forfeit any Reward where it reasonably determines that:

• these Terms have been violated;
• Tournament rules have been violated;
• Fair Play requirements have not been met;
• fraud or abuse has occurred;
• manipulation has occurred;
• eligibility requirements have not been satisfied;
• identity or residency cannot be verified;
• the user is located in or connected to a jurisdiction where TradeMania does not offer its services;
• issuance of the Reward would violate applicable law or regulatory obligations.

Where a participant is disqualified before or after Tournament completion, TradeMania may remove that participant from the Leaderboard, invalidate Tournament results relating to that participant, and award the affected Reward to the next eligible participant or otherwise dispose of the Reward in accordance with the applicable Tournament rules.

TradeMania's decision regarding Reward eligibility, subject to applicable law, shall be final.

10. Fair Play and Prohibited Conduct

TradeMania is committed to maintaining a fair, competitive, and enjoyable environment for all participants.

Users must compete honestly and in accordance with these Terms, Tournament Rules, and the intended operation of the Platform.

Any attempt to gain an unfair competitive advantage is strictly prohibited.

Without limitation, prohibited conduct includes:

• exploiting software bugs or unintended Platform behavior;
• exploiting pricing anomalies, execution anomalies, latency, synchronization issues, or technical defects;
• exploiting leverage calculations, position limits, exposure limits, margin rules, or risk management controls in a manner not intended by the Platform;
• exploiting Tournament configuration or scoring mechanisms;
• using automated software, bots, scripts, macros, artificial automation, or unauthorized third-party tools;
• reverse engineering or attempting to discover vulnerabilities in the Platform;
• manipulating Tournament outcomes;
• colluding with other users;
• coordinating trades or Tournament activity to gain an unfair advantage;
• operating multiple Accounts or assisting others in doing so;
• account sharing;
• impersonating another individual;
• providing false identity or residency information;
• attempting to circumvent geographic restrictions;
• masking or falsifying device information;
• using VPNs, proxies, emulators, virtual devices, or other technologies to bypass Platform restrictions where prohibited by TradeMania;
• exploiting any error, omission, malfunction, vulnerability, or unintended feature of the Platform;
• engaging in conduct that undermines the integrity, fairness, security, or intended operation of any Tournament.

The examples above are illustrative only and do not limit TradeMania's ability to determine that other conduct constitutes prohibited activity.

Users are expected to compete based on skill rather than exploitation of unintended Platform behavior.

11. Investigations and Enforcement

TradeMania may investigate any activity that it reasonably believes may violate these Terms, Tournament Rules, or applicable law.

Investigations may occur before, during, or after Tournament completion.

TradeMania may review, among other things:

• trading activity;
• order history;
• account activity;
• login history;
• device identifiers;
• IP addresses;
• network information;
• location information;
• system logs;
• security signals;
• payment information where applicable;
• user communications relating to suspected abuse;
• any other information reasonably necessary to protect the Platform.

During an investigation, TradeMania may temporarily:

• suspend an Account;
• restrict Platform access;
• freeze Tournament participation;
• remove a participant from a Leaderboard;
• delay Tournament settlement;
• withhold Rewards;
• suspend TM Coin transactions;
• require identity or residency verification.

Where TradeMania reasonably determines that a violation has occurred, it may take one or more enforcement actions, including:

• issuing warnings;
• removing Tournament entries;
• adjusting Tournament results;
• invalidating trades or Tournament outcomes affected by prohibited conduct;
• removing users from Leaderboards;
• disqualifying participants;
• withholding or forfeiting Rewards;
• reallocating Rewards to the next eligible participant;
• removing TM Coins;
• permanently revoking promotional benefits;
• suspending Accounts;
• permanently terminating Accounts;
• preventing future registration;
• taking any other action reasonably necessary to preserve the integrity, fairness, security, or intended operation of the Platform.

TradeMania is not required to disclose its fraud detection methods, security systems, investigation procedures, or internal decision-making processes.

Nothing in these Terms limits TradeMania's right to cooperate with law enforcement authorities or regulatory agencies where required or permitted by applicable law.

12. Suspension and Termination

TradeMania may suspend, restrict, or terminate an Account immediately where it reasonably determines that:

• these Terms have been violated;
• Tournament Rules have been violated;
• Fair Play requirements have been violated;
• the Account presents a security risk;
• fraudulent or abusive activity has occurred;
• the user is ineligible to use the Platform;
• the user accesses the Platform from a jurisdiction where TradeMania does not make its services available;
• continued access may expose TradeMania, its partners, or other users to legal, regulatory, operational, reputational, or security risks.

Termination may occur without prior notice where reasonably necessary to protect the Platform or other users.

Upon suspension or termination, TradeMania may, without limitation:

• deactivate the Account;
• remove Tournament entries;
• remove Leaderboard placements;
• cancel pending Rewards;
• forfeit TM Coin balances obtained through prohibited conduct;
• revoke promotional benefits;
• restrict future registrations;
• retain records necessary for legal, regulatory, fraud prevention, or operational purposes.

Termination of an Account does not relieve the user of obligations arising before termination, nor does it create any entitlement to compensation.

TradeMania's rights under these Terms are cumulative and may be exercised independently or together.

13. Intellectual Property

The Platform, including its software, design, graphics, logos, trademarks, trade names, content, interfaces, Tournament formats, Leaderboards, text, audio, video, databases, source code, and all related intellectual property rights are owned by or licensed to TradeMania and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, users may not:

• copy;
• reproduce;
• distribute;
• modify;
• adapt;
• translate;
• create derivative works;
• reverse engineer;
• decompile;
• scrape;
• extract data from;
• commercially exploit;
• publicly display;
• publicly perform;
• otherwise use any part of the Platform without TradeMania's prior written consent.

No provision of these Terms transfers ownership of any intellectual property to the user.

TradeMania grants users a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform solely for its intended purposes and in accordance with these Terms.

14. User Content

The Platform may allow users to submit, upload, publish, transmit, or otherwise make available content, including usernames, profile images, comments, messages, feedback, suggestions, or other materials ("User Content").

You are solely responsible for your User Content and represent that:

• you own or have all necessary rights to submit it;
• it does not infringe the rights of any third party;
• it is accurate to the best of your knowledge;
• it complies with these Terms and applicable laws.

You must not submit User Content that:

• is unlawful, fraudulent, misleading, or deceptive;
• is defamatory, abusive, threatening, or harassing;
• promotes hatred, violence, discrimination, or illegal activity;
• infringes intellectual property or privacy rights;
• contains malicious software or harmful code;
• impersonates another person or organization.

By submitting User Content, you grant TradeMania a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify where technically necessary, display, distribute, and use such User Content solely for operating, improving, promoting, and administering the Platform.

TradeMania may remove, edit, restrict, or refuse any User Content at its discretion without prior notice where it reasonably believes the content violates these Terms, applicable law, or the interests of the Platform.

15. Privacy

Your privacy is important to us.

TradeMania collects, uses, stores, and protects personal information in accordance with its Privacy Policy, which forms part of these Terms.

By using the Platform, you acknowledge that TradeMania may collect and process information including:

• registration information;
• identity verification information where required;
• device information;
• operating system information;
• IP address;
• approximate location information;
• trading activity;
• Tournament participation;
• TM Coin activity;
• Reward redemption activity;
• communications with TradeMania;
• technical logs;
• fraud prevention and security data.

TradeMania may process personal information for purposes including:

• operating the Platform;
• administering Tournaments;
• providing customer support;
• preventing fraud and abuse;
• ensuring Fair Play;
• complying with legal obligations;
• improving Platform performance;
• protecting users and TradeMania.

Users are responsible for ensuring that all information provided remains accurate and up to date.

16. Disclaimers

The Platform is provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, TradeMania makes no representations or warranties, express or implied, regarding:

• uninterrupted availability;
• continuous operation;
• accuracy;
• reliability;
• security;
• suitability for any particular purpose;
• freedom from errors, defects, viruses, or other harmful components.

TradeMania does not guarantee that:

• any Tournament will operate without interruption;
• Leaderboards will always update in real time;
• technical issues will never occur;
• Rewards will always remain available;
• participation will result in winning a Reward.

TradeMania reserves the right to interrupt, suspend, modify, or discontinue any part of the Platform for maintenance, operational, security, legal, or business reasons.

TradeMania is a skill-based competition platform using Virtual Funds.

Nothing on the Platform constitutes:

• financial advice;
• investment advice;
• trading advice;
• brokerage services;
• portfolio management;
• investment recommendations;
• an offer to buy or sell financial instruments.

Users remain solely responsible for their own financial and investment decisions outside the Platform.

17. Limitation of Liability

To the fullest extent permitted by applicable law, TradeMania, its affiliates, officers, directors, employees, licensors, suppliers, partners, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or economic damages arising out of or relating to:

• use of or inability to use the Platform;
• Tournament participation;
• Leaderboard placement;
• Reward eligibility;
• disqualification;
• suspension or termination of an Account;
• loss of TM Coins;
• loss of Virtual Funds;
• interruption of service;
• system failures;
• delays;
• technical errors;
• unauthorized access;
• data loss;
• third-party services.

TradeMania's total liability arising from or relating to these Terms shall not exceed the greater of:

• the amount actually paid by the user to TradeMania during the twelve (12) months preceding the event giving rise to the claim; or
• USD 100.

Nothing in these Terms excludes or limits liability where such exclusion is prohibited by applicable law.

18. Indemnification

You agree to indemnify, defend, and hold harmless TradeMania, its affiliates, officers, directors, employees, contractors, licensors, partners, and service providers from and against any claims, liabilities, damages, judgments, penalties, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:

• your use of the Platform;
• your breach of these Terms;
• your violation of applicable law;
• your infringement of any third-party rights;
• your fraudulent, abusive, or prohibited conduct;
• any User Content submitted by you.

TradeMania reserves the right to assume the exclusive defense of any matter subject to indemnification at your expense.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform shall first be addressed through good faith negotiations between the parties.

If a dispute cannot be resolved amicably within a reasonable period, it shall be submitted to the competent courts of the Emirate in which TradeMania is established, unless applicable law requires otherwise.

Nothing in these Terms limits TradeMania's right to seek injunctive or equitable relief in any competent jurisdiction to protect its intellectual property, confidential information, security systems, or other legal rights.

20. Changes to the Platform

TradeMania continually develops and improves the Platform.

Accordingly, TradeMania may, at any time and without prior notice:

• add, modify, suspend, or discontinue features;
• introduce new Tournaments;
• discontinue existing Tournaments;
• modify Tournament rules;
• modify Reward structures;
• modify TM Coin functionality;
• adjust gameplay mechanics;
• change Virtual Fund allocations;
• update Leaderboards;
• introduce new security measures;
• modify eligibility requirements.

TradeMania shall not be liable for any modification, suspension, or discontinuation of any feature or service.

21. Changes to these Terms

TradeMania may amend these Terms from time to time.

Where required by applicable law, TradeMania will provide reasonable notice of material changes through the Platform, website, or other appropriate communication channels.

The updated Terms become effective on the stated Effective Date.

Your continued use of the Platform after updated Terms become effective constitutes your acceptance of the revised Terms.

If you do not agree with the revised Terms, you must discontinue use of the Platform.

22. General Provisions

If any provision of these Terms is determined by a court of competent jurisdiction to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

TradeMania's failure or delay in exercising any right under these Terms shall not constitute a waiver of that right.

Any waiver shall be effective only if made in writing by an authorized representative of TradeMania.

You may not assign, transfer, or delegate any rights or obligations under these Terms without TradeMania's prior written consent.

TradeMania may assign or transfer its rights and obligations under these Terms without restriction in connection with a corporate restructuring, merger, acquisition, sale of assets, or operation of the Platform.

These Terms, together with the Privacy Policy, Tournament Rules, and any additional policies expressly incorporated by reference, constitute the entire agreement between you and TradeMania regarding the Platform and supersede all prior agreements, understandings, or representations relating to the same subject matter.

Section headings are provided for convenience only and do not affect the interpretation of these Terms.

Any rights or obligations which by their nature should survive termination, including without limitation provisions relating to intellectual property, investigations, enforcement, indemnification, limitation of liability, governing law, and dispute resolution, shall survive termination of these Terms and your Account.

Final Provisions

By creating an Account or otherwise accessing or using the Platform, you acknowledge that:

• you have read these Terms in their entirety;
• you understand them;
• you agree to be legally bound by them;
• you will comply with all applicable Tournament Rules and Platform policies.

Failure to comply with these Terms may result in enforcement action, including warning, investigation, disqualification, removal from Leaderboards, forfeiture of Rewards or TM Coins, suspension, permanent Account termination, restriction of future access to the Platform, or any other action reasonably necessary to protect the integrity, security, fairness, and intended operation of TradeMania.
